FindSBAQoE Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") govern your use of FindSBAQoE.com and related services (the "Site"). The Site is operated by Synchay LLC ("FindSBAQoE," "we," "us").

By using the Site, or by creating a provider account, you agree to these Terms. If you accept on behalf of a firm, you confirm you have authority to bind that firm, and "you" includes the firm. If you do not agree, do not use the Site.

2. What FindSBAQoE is, and is not

FindSBAQoE is an online directory and matching tool. It helps lenders find and compare firms that provide Quality of Earnings services for SBA-financed transactions.

FindSBAQoE is not:

A party to any engagement, contract, or fee arrangement between a lender and a provider. Those agreements are solely between them.
Affiliated with, endorsed by, or acting for the U.S. Small Business Administration or any government agency.
A provider of accounting, valuation, legal, lending, or credit advice. Nothing on the Site is a recommendation to engage a particular provider.
A verifier or certifier of providers. We do not audit credentials, licenses, insurance, independence, or work quality unless we expressly say so for a specific item.

A matching result means that provider-reported information aligns with the criteria entered by the lender. It is not an endorsement, a ranking of professional quality, or a recommendation to engage that provider.

Lenders remain responsible for their own provider selection, due diligence, and compliance with SBA requirements and their own policies.

3. Eligibility and provider accounts

Only service providers may create accounts. Lenders and other visitors may browse, search, and use the matching tool without an account.

Invitation. Provider accounts may be created only through an invitation or another process approved by FindSBAQoE. Public self-registration is not available. We may accept or decline any request at our discretion.
Eligibility. You must be at least 18, and you must represent a legitimate provider firm that offers the services it lists.
Account security. Keep your login credentials confidential. You are responsible for activity under your account. Tell us promptly at findsbaqoe@synchay.com if you suspect unauthorized access.
Accurate identity. Do not create accounts for firms you do not represent, or impersonate any person or firm. A firm may have multiple authorized users if FindSBAQoE approves or supports that access.

4. Provider information: accurate and current

Lenders rely on your profile to decide who to contact. You agree that all information you submit is true, accurate, and not misleading, including:

Firm details, locations, and service area
Industries served, transaction sizes, and experience
Team members and credentials (only list people who work with your firm and have agreed to be listed)
Availability, earliest start, and turnaround times
Fee ranges and pricing structure

You are responsible for keeping this information up to date. Update your profile promptly when your capacity, pricing, team, or services change. Fee ranges and timelines are good-faith estimates, not binding quotes; the final terms are set between you and the lender.

We may mark information as "as reported by the provider," show when it was last updated, or hide information that appears outdated. We may ask you to confirm or correct information, and may remove information we reasonably believe is inaccurate.

5. No client data or confidential information

The Site is built to hold information about your firm only. You must not upload, enter, or link to:

Client or borrower data, including names, financial statements, tax returns, bank records, or account numbers
Prior QoE reports, workpapers, or deliverables prepared for a client, unless fully sanitized (see below)
Personal information about any individual other than your own listed team members
Information you are bound to keep confidential under a contract, professional standard, or law

Sample deliverables. Published sample reports are available to the public through the provider’s published profile. Upload a sample only if it is fictional or fully sanitized so that no client, borrower, transaction, or individual can be identified. When you upload a sample, you confirm that it contains no client, borrower, or confidential information and that you have the right to share it. You are solely responsible for each sample you upload.

If we learn that prohibited information was uploaded, we may remove it immediately without notice. Please notify us right away at findsbaqoe@synchay.com if you upload something by mistake.

Lenders using the matching tool should describe transactions in general terms (industry, size, complexity) and should not enter borrower names or other identifying or confidential information. We do not intentionally store lender transaction criteria as a saved transaction record. Our infrastructure providers may temporarily process limited technical request information as described in our Privacy Policy.

6. Permission to display your content

You keep ownership of the information, logos, and sample materials you submit ("Provider Content"). You grant us a non-exclusive, worldwide, royalty-free license to host, store, copy, format, and display Provider Content as needed to operate and promote the Site while your profile is active. After your profile closes, we may retain limited copies in backups and records as described in our Privacy Policy, but we will not begin new promotional uses of your Provider Content.

You confirm you have the rights needed to grant this license, and that your Provider Content does not infringe anyone else's rights. We may reformat or shorten Provider Content to fit the Site's layout, but we will not change its meaning.

We will obtain separate permission before using a provider’s logo or sample report in a paid advertisement or marketing campaign outside the Site.

7. How matching and results work

Transaction Matching uses defined, rules-based logic. It compares what a lender enters (such as industry, transaction size, complexity, timing, and budget) with the information providers report in their profiles. It does not use subjective ratings or measure professional quality.

We apply the same criteria to every provider:

Equal treatment. Every listed provider is evaluated by the same rules. No firm receives a hidden advantage.
Payment does not buy a better match. Paid plans, if offered, do not change matching scores or the order of matching results.
Labeled placements. Any sponsored or featured placement will be clearly labeled and displayed separately from matching results.
Missing information. Missing information is not treated as a negative claim about a provider. However, the Site may be unable to confirm a match when information needed for that comparison has not been reported.
No ownership conflicts. FindSBAQoE and its owners do not own or operate any listed provider. If that changes, we will disclose it.

Matching is based on provider-reported information and lender-entered criteria. A matching result is not an endorsement, a ranking of professional quality, or a guarantee that any provider is the best choice for a transaction. We do not guarantee that any provider will appear in a given search, be contacted, or win any engagement. We may update our matching rules over time while continuing to follow these fairness principles; material changes to these principles will be reflected in these Terms.

8. For lenders using the Site

Provider profiles are self-reported. Before engaging any provider, verify credentials, independence, insurance, availability, and fees directly with the firm, and confirm the provider meets current SBA requirements and your institution's policies. Any engagement is solely between you and the provider.

Profiles expressly labeled as examples, including any remaining fictional launch profiles, are provided only to demonstrate how the Site works. They are not real firms and cannot be engaged.

9. Acceptable use

You agree not to:

Post false, misleading, or exaggerated claims
Use automated means to scrape, copy, or bulk-download listings or Site content, except for ordinary search-engine indexing permitted by our robots configuration
Use Site content to build a competing directory
Use contact details from the Site to send spam or unsolicited bulk messages
Try to manipulate matching results, for example by creating duplicate profiles or listing services you do not offer
Interfere with the Site's security, probe for vulnerabilities, or access data that is not yours
Upload malware or anything unlawful, defamatory, or infringing
Use the Site in violation of any law

10. Data storage and service providers

We use trusted third-party services to run the Site. Provider account information, profile data, and uploaded files are stored with Supabase, our database and file-storage provider, on servers located in Canada. The Site is hosted on Vercel. Information may be processed in the United States and Canada and may be subject to the laws of those countries. We may add service providers for email, payments, or spam protection; current service providers are listed in our Privacy Policy.

We use access controls designed so that each provider can edit only its own account and profile. Sample reports are kept in private storage and are shared only through short-lived links once a profile is published. Logos are publicly viewable. No system is perfectly secure, and we cannot guarantee that information will never be accessed, lost, or disclosed without authorization.

Cookies. We use cookies and similar technologies needed for provider authentication, account setup, security, and operation of the Site. Aggregate usage information and any additional tools are described in our Privacy Policy.

How we collect, use, and share personal information is described in our Privacy Policy. We do not sell provider information.

11. Fees and paid plans

Basic listings are currently free. We may introduce paid plans or features in the future. Before you are charged anything, we will show you the price, billing terms, and cancellation terms, and you will need to accept them. Paid plans will not affect matching results (see Section 7).

12. Our intellectual property

The Site, including its design, text, matching logic, and the FindSBAQoE name and logo, belongs to us or our licensors. Except for your own Provider Content, you may not copy, modify, or redistribute any part of the Site without our written permission. If you send us feedback or suggestions, we may use them without obligation to you.

13. Suspension, removal, and closing your account

We may edit, hide, or remove any listing or content, or suspend or close an account, if we reasonably believe it breaks these Terms, is inaccurate, creates risk for lenders or the Site, or is required by law. Where practical, we will tell you why and give you a chance to fix the issue.

You may close your account at any time by emailing findsbaqoe@synchay.com. When your account closes, we will remove the associated public profile and public access to its sample reports within a reasonable period. We will delete or de-identify account data according to the retention periods described in our Privacy Policy. Limited records may be retained when reasonably needed for legal, security, fraud-prevention, dispute-resolution, or backup purposes.

Sections 6 (only for limited backup, recordkeeping, and previously authorized uses), 12, 14, and 15 continue to apply after an account closes.

14. Disclaimers, limits on liability, and indemnity

Disclaimer. The Site is provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all warranties, express or implied, including accuracy, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free, or that any listing is accurate or current.

Limitation of liability. To the fullest extent allowed by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities. We are not liable for any engagement, work product, fee dispute, or loan outcome between lenders and providers. Our total liability for any claim relating to the Site will not exceed the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim or (b) $50.

Indemnity. You agree to defend and hold FindSBAQoE, Synchay LLC, and their owners, officers, employees, and agents harmless from claims, losses, liabilities, damages, and reasonable attorneys’ fees arising from your content, your misuse of the Site, or your breach of these Terms. Providers also agree that this obligation applies to claims arising from their Provider Content, representations, professional services, or dealings with lenders, borrowers, or other third parties.

15. Governing law, changes, and contact

Governing law. These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Utah County, Utah, and you consent to their jurisdiction.

Changes. We may update these Terms. We will post the new version with a new "Last updated" date. Unless a later date is stated, updated Terms take effect when posted. For material changes affecting provider accounts, we will provide notice by email or through the Site before or when the changes take effect. Continued use after changes take effect means you accept them.

Other terms. If any part of these Terms is unenforceable, the rest stays in effect. Our failure to enforce a term is not a waiver. You may not transfer your account without our consent. These Terms, with our Privacy Policy, are the entire agreement between you and us about the Site.
